The Associate Corporate Counsel role will perform the critical tasks of drafting and negotiating commercial agreements and providing legal support generally in support of the Biosciences Division (BID) within Thermo Fisher. This role can be housed at one of our sites in Hillsboro, OR, Pittsburgh, PA or North Carolina.
Responsibilities:
- Serve as legal point of contact for BID, providing support and expertise necessary to enable business growth.
- Draft, review, and negotiate contracts, including supply agreements, license agreements and vendor agreements.
- Understand and frame legal and business issues in preparation and review of commercial agreements, including advising business on potential risks and mitigants.
- Engage with other relevant functions, such as regulatory, intellectual property, licensing, business development, procurement, finance, commercial, and product management, and facilitate appropriate leadership approval.
- Negotiate directly with external counterparties and their counsel, collaborating with internal counsel and other internal stakeholders as required.
- Support due diligence and other activities relating to M&A and integration activities.
- Support practice management activities, including development of new and updates to existing contractual templates, and routinely work with the business on process improvements to ensure efficient support.
- Train internal clients on risk management and how to best engage with the Legal team.
- Promote a collaborative and inclusive team environment.
- Collaborate with peers to ensure alignment with business strategy.
- Interact with all levels of company personnel and external customers.
- Seek advice from senior legal leaders when necessary.
Job Requirements:
- JD from an accredited law school and admission to state bar in good standing is required. License to practice law in the U.S.
- 4+ years of legal experience, including contract preparation, negotiation and related activities resulting in an experienced working knowledge of contract law and risk allocation and mitigation techniques.
- Prior in-house experience preferred.
- Experience working in life sciences.
- Solid understanding of intellectual property law.
- Excellent writing, negotiation, communication and interpersonal skills.
- Attention to detail, ability to prioritize, and understanding of when to seek advice from or raise matters with Legal Department leadership, company executives or other company personnel, or external consultants is essential.
